This position will play a key role in supporting the General Counsel in the management, oversight, and execution of enterprise-wide legal matters, with an initial primary focus on commercial contracting and transactional matters and meaningful opportunity for growth into other areas, including litigation, regulatory, corporate governance, compliance, employment law, and legal operations matters. The successful candidate will serve as a primary legal contracting resource for a broad range of business units and corporate functions, partnering closely with internal stakeholders to facilitate business objectives while appropriately managing legal and regulatory risk.

Experience with mergers and acquisitions, joint ventures, or other strategic transactions is strongly valued but not required. The successful candidate will possess strong business judgment, exceptional attention to detail, the ability to operate independently in a fast-paced environment, and the interest and agility to expand into other areas of law.

This role offers meaningful exposure to highly regulated healthcare, aviation, and energy industries, as well as domestic and international business operations. Prior experience across each of these industries is not required. PHI values strong legal fundamentals, intellectual curiosity, sound judgment, a collaborative working style, and the ability to learn new businesses and subject areas quickly.

    • Corporate strategic transaction agreements
    • Healthcare-related agreements, including joint venture and partnership agreements, Preferred Provider Agreements (PPAs), Insurance Network Provider Agreements, Business Associate Agreements (BAAs), consulting and advisory agreements, and clinical training and preceptorship agreements
    • Aviation-related agreements, including aircraft leasing, purchase and sale, maintenance, repair and overhaul (MRO), and aviation transportation agreements
    • General business and procurement agreements, including vendor, master services, professional services, confidentiality and non-disclosure, real estate leasing and facilities, and software and technology agreements
  • Take ownership of assigned legal matters from initial intake through completion, including establishing priorities, identifying required decisions, coordinating stakeholders, and driving matters toward timely resolution.
  • Effectively triage competing requests based on legal risk, business impact, urgency, and organizational priorities, escalating significant issues appropriately.
  • Provide practical, business-oriented legal advice regarding contractual rights, obligations, risks, and dispute resolution.
  • Partner with business leaders and corporate functions, including operations, finance, procurement, information technology, compliance, human resources, revenue cycle, and executive leadership, to support business initiatives and transactions.
  • Identify legal, operational, regulatory, and financial risks associated with proposed contracts and transactions and develop practical solutions to mitigate those risks.
  • Exercise independent judgment while promptly escalating significant legal, regulatory, financial, reputational, or operational risks to the General Counsel.
  • Support the negotiation, structuring, and implementation of strategic business transactions, partnerships, joint ventures, acquisitions, divestitures, and other corporate initiatives.
  • Assist with legal due diligence and transactional documentation related to mergers, acquisitions, financings, and other corporate transactions.
  • Develop and maintain contract templates, negotiation playbooks, and standard processes designed to improve contract efficiency, consistency, and risk management.
  • Advise business stakeholders regarding contract interpretation, performance issues, amendments, renewals, and termination rights.
  • Support the resolution of contractual disputes and pre-litigation matters.
  • Coordinate with and manage outside counsel as necessary.
